Virtual Meeting Voting Instructions:
Electronic Voting:
To vote at a Virtual Meeting, you must sign-in at meet.secureonlinevote.com at the date and time of the Meeting as described in the Information Circular. If you are voting via the meet.secureonlinevote.com website, you agree that any applicable written or execution requirements have been satisfied. During the voting period, if you submit multiple voting instructions online, your last received vote will be taken as your final voting submission.
How to Vote:
Voting at the Meeting requires access to a computer, a tablet, or a smartphone that is capable of loading the meet.secureonlinevote.com site, during the date and time of the Meeting as specified in the Circular.
On the day and time of the meeting, you must go to meet.secureonlinevote.com with your Control Number(s) and Sign-In using any one of the Control Numbers provided to you on your Form of Proxy. You can sign in at any time before the official start of the Meeting, or while the meeting is in progress.
Once you sign in, and accept the Terms and Conditions, you will arrive at a "Waiting Room" page, where you will see a list of all the resolutions on which you are eligible to vote, based on your Fund holdings.
If you have more than one Control Number, you will be able add the additional Control Numbers in the Waiting Room.
The Meeting will start at the scheduled time, and each of the Meeting resolutions will be moved and seconded, and a vote will be called.
As soon as the vote is called on a resolution, you will be able to click the Vote Now
button beside the called Resolution in the Waiting Room. It is permitted to vote several times on a resolution. Your last submitted voting instructions will be the vote that is tabulated in the final report.
Voting is permitted until the allotted time period for the resolution expires. Any votes not submitted before the end of this time period will not be tabulated.
Deadline for submitting your instructions:
To be valid, meet.secureonlinevote.com must receive your Electronic Ballot within the time period alotted by the the Chairperson of the meeting. Any voting instructions received after the close of the voting period will not be accepted by the tabulators. Your voting instructions will be recorded when they are received.
This Electronic Ballot will be deemed to be dated on the date and time that you submit your votes online.
To attend the meeting as an Appointee:
Securityholders have the right to appoint a proxyholder, other than the individuals listed on the paper or Electronic Proxy Ballot, by inserting the name of such proxy (who need not be a securityholder). This must be completed and submitted to the tabulators before the beginning of the Meeting, using your paper or electronic Form of Proxy.
If you want to designate another person to attend the meeting in your place, you may do so by recording the name of your designate in the Appointee section of the Form of Proxy or Electronic Ballot. You or your designate will have the right to attend the virtual meeting and vote electronically.
You, or your designate, must attend the virtual meeting for your vote to be counted.
To attend the meeting in your place, your designate must pre-register by clicking the Register to Attend
button at meet.secureonlinevote.com, and pre-register using their own name, which must match the name you entered as an Appointee on your Form of Proxy ballot. Your designate must pre-register or join with your Control Number. Your designate will recieve a personalized link to attend the Virtual Meeting using the Zoom software.
Finally, on the day of the Meeting, your designate must Sign In at meet.secureonlinevote.com at the time of the meeting, with your Control Number(s) and follow the standard voting instructions.
Form of Proxy – Registered Holders:
The proxy is solicited for use at the meeting of securityholders to be held at the date and time listed in the Information Circular as well as on the main www.secureonlinevote.com website. In the event of any information discrepancies, the information circular shall be taken as the source for correct information.
If you do not plan to attend the meeting to vote in person, please provide your voting instructions by completing either the paper or Electronic Proxy Ballot (at www.secureonlinevote.com). The listed appointee(s) will vote on your behalf according to the voting instructions you provide. The securities represented by this Electronic Proxy Ballot will be voted as directed. Where no choice is specified, this Electronic Proxy Ballot will confer discretionary authority and will be voted as recommended in the information circular.
Voting Instruction Form – Non-Registered Holders
The Reporting Entity is sending the meeting materials directly to non-registered shareholders whose shares are registered in the name of a dealer or other intermediary. Please note, all non-registered shareholders names, addresses and information about their holdings have been obtained in a manner consistent with applicable securities regulations.
The proxy is solicited for use at the meeting of securityholders to be held at the date and time listed in the Information Circular as well as on the secureonlinevote.com website. In the event of any information discrepancies, the information circular shall be taken as the source for correct information.
Your shares can be voted only by your Intermediary, in accordance with your written instructions. Please complete and return your voting instructions promptly.
